Terms of Service

Effective July 1, 2026

1. Acceptance of Terms

By creating an account, accessing, or using AwardReady ("Service"), you agree to these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service. These Terms constitute a binding legal agreement between you and Desert Oasis Digital LLC ("we," "us," "our"), a Washington limited liability company.

2. Description of Service

AwardReady is a compliance-tracking software product for federal contractors. It monitors registration and certification status through public federal APIs, verified directory checks, and user-supplied data; sends reminders; and generates readiness documents. AwardReady is a private commercial product and is not affiliated with, endorsed by, or acting on behalf of SAM.gov, the U.S. Small Business Administration, the Department of Veterans Affairs, or any other U.S. government agency.

3. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We may suspend or terminate an account we reasonably believe has been compromised, is being used to circumvent these Terms, or is engaged in fraud.

4. Subscription Tiers and Billing

AwardReady offers a free tier (Lookout) and paid tiers (Patrol, Sentinel). Paid subscriptions renew automatically on the billing cycle you select until canceled. You may cancel at any time from your billing settings; cancellation takes effect at the end of the current paid period. Fees are non-refundable except where required by law. We reserve the right to change pricing with at least 30 days' notice to active subscribers.

5. Acceptable Use

You agree not to: (a) scrape, spider, or otherwise programmatically extract data from the Service; (b) reverse-engineer, decompile, or attempt to derive source code; (c) misrepresent the certification or registration status of any entity; (d) use the Service to violate any law or third-party right; (e) upload malware or attempt to compromise the security of the Service; (f) resell, sublicense, or provide the Service to third parties without our written consent.

6. Intellectual Property

The Service, including its software, branding, and content, is owned by Desert Oasis Digital LLC and protected by intellectual-property laws. You retain ownership of the data and documents you upload; you grant us a limited license to store, process, and display that data solely to provide the Service to you.

7. Disclaimer — Not Legal or Compliance Advice

The Service is provided "as is" and "as available." AwardReady is a tracking and notification tool. It is not a substitute for legal advice, contracting officer guidance, or the authoritative status shown on SAM.gov or any federal system. You remain solely responsible for the accuracy and currency of your registrations and certifications and for your eligibility to bid on federal contracts.

8. Limitation of Liability

To the fullest extent permitted by law, Desert Oasis Digital LLC and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether arising in contract, tort, or otherwise, even if advised of the possibility of such damages. Our aggregate liability for any claim relating to the Service will not exceed the greater of one hundred U.S. dollars ($100) or the fees you paid us in the twelve months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Desert Oasis Digital LLC from any claim, demand, damages, or expense (including reasonable attorneys' fees) arising out of your use of the Service, your data, or your breach of these Terms.

10. Data Processing

We process your data in accordance with our Privacy Policy. We use industry-standard processors (Supabase, Stripe, Brevo, Twilio, Cloudflare) to operate the Service. We do not sell your data. Users in jurisdictions with data-protection laws (including the EU/UK and California) may exercise their applicable rights as described in the Privacy Policy.

11. Termination

You may terminate your account at any time. We may terminate or suspend your account for material breach of these Terms, non-payment, prolonged inactivity, or where required by law. Upon termination, your right to access the Service ends. We will delete your data within 30 days of account termination, except where retention is required by law or for legitimate audit purposes.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Pierce County, Washington, and you consent to personal jurisdiction there. Nothing in this section limits either party's right to seek injunctive relief in any court of competent jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
